The Industrial Development Corporation (IDC) Limited, a State-Owned Enterprise (SOE) is charged with mandate to lead the Zambian Government’s commercial investment efforts to boost industrial growth and job creation. A need has arisen to fill the position of:
LEGAL COUNSEL-TRANSACTIONS
To provide input and effective support to Senior Legal Counsel – Transactions on all commercial transactions and conveyancing matters. The holder is responsible for providing input into negotiation initiatives as support for transactions across the entire spectrum of commercial agreements. The holder also conducts research on instruction from the Senior Legal Counsel-Transactions.
Key Responsibilities:
- Conveyancing and Corporate Transactions
- Provide support to Senior Legal Counsel-Transactions in attending to representation in conveyancing and corporate transactions either through External. Counsel or in-house legal representation as assigned.
- Provide input to in-house conveyancing and corporate.
- Transactions
- Rendering well researched draft legal opinions and advice on a wide range of commercial matters undertaken by the IDC Portfolio.
- Drafting and reviewing transaction documents.
- Provide input into advice on all business operations relating to commercial transactions including policies, investments, and procedures.
- Provide input into the drafting and reviewing of transaction structure and related documentations (Equity investment, project finance, trade finance, corporate finance, among others.
- Provide support in conducting legal due diligence on proposed transactions.
- Provide input in the identifying, assessing and summarizing legal, regulatory, commercial and operational risks in relation to all Transactions undertaken by IDC.
- Provide draft advice on loan/finance agreements, common terms agreements, security documents, intercreditor agreements, supply contracts, guarantees (sovereign or corporate), power purchase agreements and letters of support.
- Provide input in the compilations of precedents and best practice in negotiating and concluding complex commercial agreements and related matters.
- Litigation
- Attend to In-house litigation as assigned.
- Provide input into negotiations with External Legal Counsel on fee structure and liaise with them on case management strategy as assigned.
- Provide input in developing strategies to resolve cases favorably and cost effectively.
- Provide input into the Department weekly, fortnightly, and quarterly reports.
- Legal Advisory
- Provide draft legal opinions and advice on instruction from the Senior Legal Counsel -Transactions.
- Secretarial Services
- Participate in and provide secretarial services during Division/departmental Meetings.
- Departmental Planning and Budgeting
- Provides input to Senior Legal Counsel – Transactions into the departmental workplan and budget.
- Any other Duties
- Perform any other job-related duties as assigned.
Minimum Qualifications & Experience:
- Grade 12 Certificate with five (5) O Levels.
- Bachelor of Laws Degree and/or equivalent Professional Qualification in relevant field from reputable institution.
- Advocate of the High Court of Zambia.
- Professional Membership of the Law Association of Zambia (LAZ).
- Minimum of two (2) years of work experience or similar position.
